PLEASE READ CAREFULLY

These Terms include an assumption of risk and release (Section 9), a limitation of liability (Section 14), and a binding individual arbitration agreement and class action waiver (Section 16) that affect your legal rights. You can opt out of arbitration within 30 days, as explained in Section 16.

1. Agreement to these Terms

These Terms of Service (“Terms”) are a binding agreement between you and Dnysus Corp (“Rallis,” “we,” “us,” or “our”) that governs your use of the Rallis mobile apps, the website rallis.club, and related services (the “Services”). By creating an account or using the Services, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility

You may use the Services only if you are at least 18 years old (or the age of majority where you live, if higher), can form a binding contract with us, are not prohibited from using the Services under applicable law, and have not previously been removed from the Services. Each person may hold only one account.

3. Your account

You agree to provide accurate information and keep it up to date, including the levels you report for each sport. You are responsible for all activity under your account and for keeping your sign-in methods secure. Tell us right away at support@rallis.club if you believe your account has been accessed without permission.

4. What Rallis is, and what it isn’t

Rallis is a platform that helps players of tennis, pickleball, padel, and similar sports find one another and coordinate games. Specifically:

  • We don’t own or run courts. We don’t own, operate, maintain, or reserve the courts listed in the Services, and we don’t control their condition, availability, lighting, hours, fees, or rules. Court information, including whether a court is public, has lights, or requires a reservation, comes from public sources and users, and it may be inaccurate or out of date.
  • We don’t organize or supervise games. Games are arranged by users. We don’t referee, coach, supervise, or insure any game.
  • We don’t vet players. We don’t run background checks or verify identities, skill levels, or health. Levels and ratings are self-reported or calculated from user-submitted results and are for information only.
  • You follow the rules where you play. You are responsible for following park and facility rules, posted signs, and any reservation requirements, and for any fees charged by court operators.

5. Games, invites, and private games

  • Hosts are responsible for the accuracy of the games they post, including courts, times, format, and level range.
  • When an option fills, a game may lock in automatically or at the host’s choice. If you join a game, please show up or cancel promptly so others can plan. Hosts may cancel a game at any time, including for weather.
  • Visibility settings (Public, Followers only, Crew, and Invite only) control where a game appears in the Services. Anyone you invite or share a private link with can view the game and may share it further. Visibility settings aren’t a guarantee of confidentiality.
  • We may remove or hide any game that violates these Terms or that we believe creates a safety risk.

6. Community rules

Rallis has zero tolerance for objectionable content and abusive users. You agree not to:

  • harass, bully, threaten, stalk, or intimidate anyone, on or off the court;
  • post content that is hateful, discriminatory, sexually explicit, violent, defamatory, or illegal, or that infringes anyone’s rights;
  • impersonate any person, misrepresent your identity or skill level, or submit false scores;
  • send spam or unsolicited commercial messages, or advertise paid services without our permission;
  • arrange games with, or solicit contact with, anyone you know or believe is under our minimum age;
  • scrape, crawl, or collect data from the Services, or use them to build a competing product;
  • reverse engineer, interfere with, or attempt to break the security of the Services; or
  • create new accounts to get around a suspension or ban.

Reporting and blocking. You can report any user, game, message, or photo in the app, and you can block any user. We review reports and take action, which may include removing content and suspending or banning accounts. We aim to act on reports of objectionable content within 24 hours.

7. Your content

You own the content you post, such as profile details, games, messages, photos, and scores (“Your Content”). You grant Rallis a worldwide, non-exclusive, royalty-free, sublicensable (to our service providers), and transferable (in connection with a business transfer) license to host, store, reproduce, adapt (for example, resize or reformat), display, and distribute Your Content, only to operate, provide, secure, and improve the Services. This includes showing public content on rallis.club pages such as public game and profile pages. The license ends when you delete Your Content or your account, except for content shared with others that they keep (such as game chat messages), and copies kept as described in our Privacy Policy.

You confirm that you have all the rights needed to post Your Content, including permission from people who appear in your photos. If you send us feedback or suggestions, we may use them without any obligation to you.

8. Playing safely

Rallis connects you with people you may not know. Meet at public courts, tell a friend where you’re going, trust your instincts, and report anything that concerns you. You are solely responsible for your interactions with other users, on and off the Services. Rallis is not responsible for the conduct of any user. In an emergency, call 911 or your local emergency number.

9. Assumption of risk and release

Playing tennis, pickleball, padel, and other sports involves inherent risks, including physical injury, heat-related illness, cardiac events, slips and falls, being struck by balls or rackets, court surface and lighting conditions, weather, travel to and from courts, and the actions of other people. You should consult a physician before taking part in physical activity. You participate in any game or activity arranged through the Services voluntarily and at your own risk, and you assume all such risks.

To the fullest extent permitted by law, you release Rallis and its affiliates, officers, directors, employees, and agents from any claims, demands, and damages (actual and consequential) of every kind arising out of or connected with games or activities arranged through the Services, court conditions, or your interactions with other users, except to the extent caused by our gross negligence or willful misconduct.

If you are a California resident, you waive California Civil Code Section 1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” Residents of other places waive any similar law.

10. Our intellectual property

The Services, including the Rallis name, logo, app design, and software, are owned by Rallis and its licensors and are protected by law. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to download and use the app on devices you own or control, for your personal, non-commercial use.

11. Third-party services

The Services may let you use or link to third-party services, such as Apple and Google sign-in, maps and directions, app stores, and court reservation websites. Their own terms apply, and we are not responsible for them.

12. Termination

You may stop using the Services and delete your account at any time in the app under Profile › Settings › Delete account. We may suspend or terminate your access at any time if you violate these Terms, if we must do so to comply with law, or if your use creates risk or possible legal exposure for us or others. Sections 7 (license for content already shared), 9, and 13 through 20 survive termination.

13. Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Rallis disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any information in them, including court details, weather, user profiles, levels, ratings, or scores, is accurate or reliable.

14. Limitation of liability

To the fullest extent permitted by law, Rallis will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to the Services or these Terms. Rallis’s total liability for all claims relating to the Services is limited to the greater of one hundred U.S. dollars (US$100) or the amount you paid us in the twelve months before the claim arose.

Some jurisdictions don’t allow certain disclaimers or limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

15. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless Rallis and its affiliates, officers, directors, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from Your Content, your use of the Services, your participation in games, your interactions with other users, or your violation of these Terms or applicable law.

16. Dispute resolution and arbitration

Informal resolution first. Before filing a claim, you agree to email support@rallis.club with a description of the dispute and give us 60 days to try to resolve it informally.

Binding arbitration. If we can’t resolve it, you and Rallis agree that any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court for infringement of intellectual property.

Class action waiver: you and Rallis may bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

Opt-out. You may opt out of this arbitration agreement by emailing support@rallis.club with the subject “Arbitration opt-out” within 30 days after you first accept these Terms.

Governing law and venue. These Terms are governed by the laws of the State of Texas and applicable U.S. federal law (including the Federal Arbitration Act), without regard to conflict-of-law rules. For any matter not subject to arbitration, you and Rallis consent to the exclusive jurisdiction of the state and federal courts located in Montgomery County, Texas.

17. Additional terms for app stores

Apple

If you downloaded the app from Apple’s App Store: (a) these Terms are between you and Rallis only, not Apple, and Rallis, not Apple, is solely responsible for the app and its content; (b) Apple has no obligation to provide maintenance or support for the app; (c) if the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund any purchase price paid for the app; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app; (d) Rallis, not Apple, is responsible for addressing any claims relating to the app or your use of it, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, and consumer protection or privacy claims; (e) Rallis, not Apple, is responsible for the investigation, defense, settlement, and discharge of any third-party claim that the app infringes intellectual property rights; (f) you represent that you are not located in a country subject to a U.S. Government embargo or designated as “terrorist supporting,” and that you are not on any U.S. Government list of prohibited or restricted parties; (g) you must comply with applicable third-party terms when using the app; and (h) Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

Google

If you downloaded the app from Google Play, Google Play’s terms of service also apply to your download. Google is not a party to these Terms and is not responsible for the app.

18. Copyright complaints

We respect intellectual property rights. If you believe content on the Services infringes your copyright, send a notice to our designated agent with: your signature; identification of the copyrighted work; identification of the infringing material and where it is located; your contact information; a statement that you have a good-faith belief the use is not authorized; and a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner. Send notices to Dnysus Corp by email at support@rallis.club (subject “Copyright notice”) or by mail to 8000 Research Forest Dr, Ste 115, The Woodlands, TX 77382, United States. We terminate the accounts of repeat infringers in appropriate circumstances.

19. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you in the app or by email at least 30 days before they take effect, unless a change is required by law or needed to address safety, in which case it may take effect sooner. If you keep using the Services after changes take effect, you accept the updated Terms.

20. General

These Terms and the Privacy Policy are the entire agreement between you and Rallis about the Services. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. You agree that we may send you notices electronically, by email or in the app, and that electronic notices satisfy any requirement that notices be in writing.
